7. Pricing and Payment Terms

7.1 Project Pricing

Pricing for our services varies based on project scope and complexity:

  • Simple projects: $25,000 - $30,000
  • Complex projects: $50,000+
  • WhatsApp AI Assistant setup: €3,900 - €6,800
  • Monthly maintenance: €120 - €300+ depending on services
  • Custom quotes provided for specific requirements

7.2 Payment Schedule

Standard payment terms include:

  • Initial Deposit: 50% of total project cost due before work begins
  • Milestone Payments: As defined in Project Agreement
  • Final Payment: Remaining balance due before final delivery
  • Monthly Services: Paid in advance on the 1st of each month

7.3 Payment Methods

We accept payment via:

  • Bank transfer (wire transfer)

7.4 Late Payments

Late payments are subject to:

  • 1.5% monthly interest on overdue amounts (or maximum allowed by law)

8. Intellectual Property Rights

You retain all rights to content, materials, and assets you provide to us, including:

  • Logos and branding materials

8.2 Final Deliverables

Upon full payment, you receive:

  • Ownership of custom design work created specifically for your project
  • Source code for custom-developed features
  • Right to use, modify, and maintain the delivered work
  • All project files and documentation

8.3 InteligenWeb Rights

We retain rights to:

  • Pre-existing code libraries and frameworks
  • General methodologies and processes
  • Third-party software and plugins
  • AI models and automation frameworks
  • Reusable code components and templates we've developed

8.4 Portfolio Use

We reserve the right to:

  • Display completed projects in our portfolio
  • Use project details in case studies (with your approval)
  • Reference you as a client (unless you request otherwise)
  • Take screenshots and document project outcomes

8.5 Third-Party Licenses

Third-party components (WordPress, Shopify, plugins, themes) remain subject to their original licenses. You are responsible for complying with these licenses.

9. Warranties and Disclaimers

9.1 Our Warranties

9.3 Disclaimers

EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Guarantees of specific business results or revenue increases
  • Guarantees of specific search engine rankings or traffic
  • Guarantees of uptime or availability (except as specified in hosting agreements)
  • Compatibility with all future software updates

10. Limitation of Liability

Our total liability for any claims arising from or related to our Services is limited to the total amount paid by you for the specific Services giving rise to the claim, not to exceed the amount paid in the 12 months preceding the claim.

  • Written approval of revised quote and timeline

11.3 Additional Work

Work beyond the agreed scope will be billed separately at our standard hourly rates or as agreed in a revised proposal.

12. Project Cancellation and Termination

12.1 Client Cancellation

You may cancel a project at any time with written notice. In the event of cancellation:

  • You are responsible for payment of all work completed to date
  • Deposits are non-refundable
  • You receive deliverables completed up to the cancellation date
  • Incomplete work may be provided "as is" without warranty

12.2 InteligenWeb Termination

We may terminate a project if:

  • Payment is more than 30 days overdue
  • Client fails to provide necessary materials or feedback for 60+ days
  • Client breaches these Terms
  • Continuation of the project is not feasible

Upon our termination, you will receive work completed to date and refund of any prepaid amounts for undelivered work.

12.3 Mutual Termination

Both parties may agree to terminate a project at any time with mutual written consent and agreed-upon settlement of outstanding obligations.

13. Confidentiality

13.1 Confidential Information

Both parties agree to protect confidential information including:

  • Business strategies and plans
  • Technical information and code
  • Customer data and lists
  • Pricing and financial information
  • Proprietary processes and methodologies

13.2 Obligations

Both parties agree to:

  • Keep confidential information secure
  • Use confidential information only for project purposes
  • Not disclose confidential information to third parties without consent
  • Return or destroy confidential information upon request

13.3 Exceptions

Confidentiality obligations do not apply to information that:

  • Is publicly available
  • Was known prior to disclosure
  • Is independently developed

16. Hosting and Maintenance

  • Storage and bandwidth limits apply per hosting plan

20. General Provisions

These Terms, together with any Project Agreement or Statement of Work, constitute the entire agreement between parties and supersede all prior agreements or understandings.

We may update these Terms at any time. We will notify you of material changes by posting the updated Terms on our Website and updating the "Last Updated" date. Continued use of Services after changes constitutes acceptance.

20.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
